The short version

A summary to find your way. The full text below is what counts.

  • Your machine, your code

PaneScale runs on your computer. Your work stays yours, and we never receive your source code.

  • Your agents, your accounts

Claude Code, Codex and the other CLIs are separate services under your own accounts, billed by their providers.

  • You stay in charge

Agents act on your instructions. Lanes, checkpoints and approvals help — review the result before you ship it.

  • Cancel any time

Plans end with the paid period. Consumers in the EU can withdraw within 14 days of buying.

#01Who we are and what these terms cover

PaneScale is a product of Impulse Apps, owner Sherif Mahmoud, Hermannstal 16, 22119 Hamburg, Germany (“Impulse Apps”, “we”, “us”). You can reach us at support@impulse-apps.de.

These terms of service govern your use of:

  • the PaneScale desktop app, including its updates and the features in Labs,
  • the free trial and every paid plan — Core, Pro and Team,
  • this website, the documentation and our support.

By installing PaneScale, starting the trial or buying a plan, you agree to these terms. If you use PaneScale for an organisation, you confirm that you may accept them on its behalf.

Some rules apply only to consumers — people who use PaneScale mainly for purposes outside their trade, business or profession — and some only to business customers. Where that is the case, the section says so. We don't accept a business customer's own general terms unless we agree to them in writing.

The privacy policy and the cookie policy explain how we handle data. The page on cancellation and refunds explains the trial, cancellation, refunds and withdrawal (sections 4, 10, 14 and 15) in plain steps; if the two ever differ, these terms apply.

#02What PaneScale is

PaneScale is a desktop workspace for coding agents. It starts the command-line tools you have installed — such as Claude Code, Codex or Gemini CLI — in a grid of terminal panes on your computer, and adds what working with several agents needs: isolated lanes in Git worktrees, checkpoints with exact rewind, budgets, signed approvals, workflows, routines, the overnight autopilot and local voice control. Which features belong to which plan is shown on the pricing page; how they work is described in the documentation.

  • Platforms. PaneScale runs on Windows 10 and 11 (x64), on macOS 11 or later (Apple silicon and Intel) and on Linux (x86_64). The system requirements, including Git and the tools individual features rely on, are part of the description of the app.
  • Labs. Features marked as Labs, such as Video Studio, are early versions. They can change faster than the rest of the app, behave unexpectedly or be removed. You can switch each of them off in Settings → Labs.
  • Local software. PaneScale does its work on your computer. Apart from the coding agents, which talk to their own providers, it doesn't need a connection to us. Buying a plan and downloading updates do.

#03Coding agents and other third-party services

PaneScale doesn't include, sell or proxy any AI model. The agents in your panes are separate products of their providers — for example Anthropic (Claude Code), OpenAI (Codex), Google (Gemini CLI) or GitHub (Copilot CLI) — and run under your own accounts with those providers. For them:

  • the provider's terms, usage policies, prices and limits apply, and the provider bills you directly;
  • we are not responsible for their availability, their output, their changes or their charges;
  • you are responsible for using them in line with the provider's rules. Some providers restrict automated or unattended use, the use of several accounts or the sharing of an account. Check those rules before you use account profiles, routines, workflows, the autopilot or start options such as bypass mode.

The same applies to the other tools and services you connect: Git, GitHub through the gh CLI, Ollama or your own model endpoint, MCP servers, SSH hosts, service CLIs such as Vercel or Supabase, and whisper.cpp with its speech models.

Claude Code, Codex, Gemini CLI and all other product names belong to their respective owners. PaneScale is an independent product and is not affiliated with, endorsed or sponsored by any of these providers.

PaneScale contains open-source components. They remain under their own licences, and nothing in these terms limits the rights those licences give you.

#04Free trial, plans and prices

Free trial. You can try PaneScale with all Pro features for 14 days, free of charge and without entering payment details. The trial ends by itself — it never turns into a paid subscription. Afterwards you decide whether and which plan you want. The trial is meant once per person; we may refuse further trials, for example if a trial is started again and again.

Plans. Core and Pro are available with monthly or yearly billing; a year costs as much as ten months. Team is offered on request from five seats; price and conditions are set out in the individual offer, and these terms apply unless the offer says otherwise.

Prices. The prices shown on the pricing page at the time of your order apply. They are in US dollars and are final prices. The checkout shows the total amount before you pay.

Early access. PaneScale is currently in early access: all features are free, with no time limit, and plans cannot be bought yet. As long as there is no checkout, we don't charge anything, and nothing in these terms obliges you to pay. The free trial and the paid plans described in this section apply once plans can be bought.

#05Buying a subscription

  1. Choose a plan and a billing period. You are taken to the checkout of our payment provider Stripe.
  2. Enter your details and a payment method. Before you order, you can review all entries and correct any mistake.
  3. By clicking the order button, you make a binding offer to conclude a subscription. The contract is concluded when we accept it — with the confirmation on screen or by email, whichever comes first.

The contract language is English. We don't keep an individual copy of the contract text for you: these terms are always available on this page, and you can save or print them with the button at the end. Your order details are in the confirmation and in the receipt you receive by email for every payment.

Payment. You pay in advance for each billing period — monthly or yearly — with a payment method offered at checkout. Team customers can pay by invoice. If a payment fails, Stripe tries again over the following days and we let you know. If it still can't be collected, we may pause the paid features until it is paid. Your data on your computer isn't affected.

Changing plans. You can upgrade at any time; the price difference for the rest of the current period is charged right away. A downgrade takes effect at the start of the next billing period.

Price changes. We tell you about a price change for a running subscription by email at least 30 days in advance. It applies to you only if you agree. If you don't, your subscription continues at the previous price; we may then end it at the end of a billing period, with at least 30 days' notice.

#06Your licence

While your trial or subscription runs, we grant you a simple (non-exclusive), non-transferable right to install and use PaneScale on computers that you own or control, for your own work or the work of your organisation.

  • One seat, one person. A plan belongs to one person, not to one computer. You may use it on your desktop and your laptop, but you may not share it with other people. In a Team plan, every seat is assigned to one named person; you can reassign a seat when someone leaves.
  • Not allowed: reselling, renting, lending or sublicensing PaneScale; working around licence or plan checks; removing copyright or licence notices; decompiling or modifying the app beyond what the law expressly allows, for example to establish interoperability.
  • Our rights. All rights in PaneScale — the software, its name and logo, this website, the documentation and the films — remain with us, apart from the open-source components mentioned in section 3.

When your trial or subscription ends, your right to use the paid features ends too. Your local data stays where it is (section 9).

#07Acceptable use

Use PaneScale only with repositories, systems, accounts and data that you are allowed to use. In particular, don't use PaneScale or the agents you run in it to:

  • gain unauthorised access to systems, networks or accounts, or scan or test them without permission;
  • develop, spread or run malware, or circumvent security measures;
  • create or distribute unlawful content, or infringe the rights of others — including copyrights, trade secrets and personal data;
  • overload third-party services or deliberately get around the rate limits and usage rules of your providers;
  • attack, probe or disrupt this website, our download and update infrastructure or the payment process.

You are responsible for what you open up to others: the token of the MCP bridge, the SSH hosts you add and the MCP servers you connect.

Found a security problem in PaneScale? Please tell us privately at support@impulse-apps.de with the subject “Security” before you publish anything. We acknowledge reports within 48 hours.

#08Agents, automation and your responsibility

Coding agents are powerful. In PaneScale they run real commands on your computer: they read, change and delete files, install packages, run scripts and tests, create branches and commits and — when you ask for it — open draft pull requests. They act on your instructions and within the configuration you choose, including workflows, routines, the autopilot and start options.

PaneScale is built to keep this under control: isolated lanes, checkpoints and rewind, the Token Guardian with budgets and loop detection, signed one-time approvals for merging, pushing and publishing, and voice commands that can't trigger anything destructive. These safeguards reduce risk; they can't remove it. They don't cover, for example:

  • files outside your Git repositories, or changes you make yourself,
  • effects outside your computer — API requests, deployments, database migrations, payments or messages an agent triggers through a tool,
  • commands an agent runs in bypass mode, where its own permission prompts are switched off,
  • what happens in third-party services and on SSH hosts.

So please:

  • Review before you adopt. Read diffs, test results and morning reports before you merge, publish or deploy anything an agent produced.
  • Use bypass mode only in isolated lanes, and only if you accept that the agent can run any command it decides on.
  • Set limits for unattended runs. Choose the repository, budgets and checks for routines and the autopilot with care — they run while you are away.
  • Keep backups. Push your work to a remote repository and back up PaneScale's data folder regularly.

AI output can be wrong, insecure or incomplete, and it can contain code that is subject to someone else's licence. Check it before you rely on it.

Usage and cost figures. For Claude Code and Codex, PaneScale shows the token usage the CLI reports; for other CLIs it shows “not reported” instead of guessing. Costs are estimates based on public price lists — your provider's bill is what counts. Budgets stop runs based on PaneScale's measurement; usage that has already happened is still billed by your provider.

#09Your content and data

Your code, prompts, files, chats, workflows, recordings and everything the agents produce for you remain yours. We don't acquire any rights to them.

PaneScale stores its data on your computer, and we don't receive your source code. The privacy policy and Your data describe exactly what is stored where and what leaves your computer.

If you send us a diagnostics export or describe a problem, we use it only to help you. If you send us feedback or ideas, we may use them to improve PaneScale without owing you anything for it.

Nothing is deleted when your trial or subscription ends. Worktrees, checkpoints, chats and runs stay on your disk until you remove them.

#10Updates and changes

PaneScale looks for new versions regularly. When one is ready, the app shows an Update button — nothing is installed until you click it. Every installer is checked against its SHA-256 checksum before it runs.

Updates you are entitled to. For as long as your subscription runs, we provide the updates — including security updates — that are needed to keep PaneScale working as described. If you don't install an update within a reasonable time, we are not responsible for defects that result solely from the missing update, provided we told you about the update and the consequences of not installing it.

Changes to features. We develop PaneScale continuously and may change or remove features for good reasons — for example because a provider changes its CLI, for security, because of new legal requirements or as part of technical progress — at no extra cost to you. If a change significantly impairs your access to or use of PaneScale and you are a consumer, we tell you clearly and at least 30 days in advance. You can then cancel your subscription free of charge within 30 days and get back the part of your prepaid fee that covers the time after the change.

Providers change their CLIs without asking us. After such a change, a feature — such as live activity or the usage display — may not work until we have adapted PaneScale. We do that as quickly as we reasonably can.

#11Support

We help by email in English or German at support@impulse-apps.de, usually within one business day; Team plans get priority. If something doesn't work, attach a diagnostics export from Settings → Updates & support. It contains no conversations, prompts or workspace content.

#12Warranty

The statutory warranty rights apply. For consumers these are the rights for digital products under sections 327 et seq. of the German Civil Code (BGB). The agreed features of PaneScale are those described on this website and in the documentation at the time of your purchase.

What we can't promise is a particular result from the agents you run, or that every new version of every third-party CLI works with PaneScale on the day it is released (section 10).

#13Liability

We are liable without limitation:

  • for damage caused intentionally or through gross negligence,
  • for injury to life, body or health,
  • under the German Product Liability Act,
  • where we have given a guarantee or fraudulently concealed a defect.

For slight negligence, we are liable only if we breach an essential contractual obligation — an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on which you may regularly rely. In that case our liability is limited to the damage that is typical for this kind of contract and foreseeable when it was concluded.

During the free trial, we are liable only for intent and gross negligence, apart from the cases listed in the first paragraph.

If data is lost, our liability is limited to the effort that would have been needed to restore it from regular, appropriate backups. These limits also apply to the personal liability of our employees, representatives and vicarious agents.

#14Term, cancellation and termination

  • Trial: ends automatically after 14 days. There is nothing to cancel.
  • Monthly plans run for one month and renew automatically by one month at a time.
  • Yearly plans run for one year. For business customers they renew by one more year. For consumers, a yearly plan continues after the first year for an indefinite period, which you can cancel at any time with one month's notice. It is still billed yearly in advance; when you cancel, we refund the prepaid fee for the time after the cancellation takes effect, pro rata.

How to cancel. You can cancel at any time and without giving a reason — by email to support@impulse-apps.de or in any other text form. The page on cancellation and refunds has a ready-made message. A cancellation takes effect at the end of the current billing period (for a consumer's yearly plan after its first year: one month after we receive it). You keep access until then and won't be charged again. We confirm every cancellation by email.

Termination for good cause. Both sides may terminate the contract for good cause without notice. For us, good cause exists in particular if you seriously or repeatedly breach section 6 or 7 — for example by sharing or reselling your plan or by working around licence checks — or if you remain in default of payment despite a reminder. Where reasonable, we warn you first.

#15Right of withdrawal for consumers

If you are a consumer, you have the following statutory right of withdrawal. The free trial is not a paid contract; the withdrawal period starts when you buy a subscription.

#Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period expires fourteen days from the day the contract was concluded.

To exercise the right of withdrawal, you must inform us (Impulse Apps, owner Sherif Mahmoud, Hermannstal 16, 22119 Hamburg, Germany, email: support@impulse-apps.de) of your decision to withdraw from this contract by an unequivocal statement, for example a letter sent by post or an email. You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

#Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.

Model withdrawal form

(Complete and return this form only if you wish to withdraw from the contract.)

To Impulse Apps, owner Sherif Mahmoud, Hermannstal 16, 22119 Hamburg, Germany, email: support@impulse-apps.de:

#16Changes to these terms

We may update these terms — for example when we add features, when the law changes or to make them clearer. Changes that affect running subscriptions, other than purely editorial ones, we send you by email at least 30 days before they take effect. They apply to you only if you agree. If you don't, your subscription continues on the previous terms; we may then end it at the end of a billing period, with at least 30 days' notice.

The date at the top of this page shows when these terms last changed. Ask us if you need an earlier version.

#17Final provisions

  • German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law doesn't take away the protection of the mandatory consumer law of the country where you live.
  • If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Hamburg, Germany.
  • We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
  • If a provision of these terms is invalid, the rest remains valid, and the statutory provisions take the place of the invalid one.
